Governance is distinct from management.
The Board provides fiduciary stewardship, strategic challenge and institutional accountability. Board Directors do not run departments. Executive management operates under delegated authority and reports evidence, performance and material exceptions to the Board.

Independent Board Chairperson
Leads the Board, protects effective governance, enables constructive challenge and keeps oversight focused on mission, strategy, performance, risk and Board effectiveness.

Founder & Mission Stewardship Director
Provides mission stewardship, institutional memory and long-term strategic perspective so growth remains aligned with Ubunifu’s purpose, values and social-enterprise mandate.
Vice Chairperson / Lead Non-Executive Director
Supports Board effectiveness, provides senior independent challenge and helps coordinate Board stewardship, succession and accountability without assuming executive authority.
Non-Executive Director — Finance, Audit & Risk

The Executive Management Team implements Board-approved strategy and manages Ubunifu Institute’s operations. Executive titles are deliberately different from Board Director titles so governance and management are not confused.

Regional and county structures coordinate programme and enterprise delivery close to participants. They do not recreate Head Office departments, separate ledgers or independent authority structures.

What is deliberately not duplicated
Ubunifu does not recreate all ten departments in every region, county or Sub-County. A geography record does not prove a physical office exists there. A regional or county partner is not automatically a legal branch, and local coordination never creates authority to bind the Institute, approve spending, change policy or make reserved programme decisions unless that authority is expressly delegated and evidenced.
